This is a contract entered into by AdThrive (hereinafter referred to as “the Provider”) and Applicant (hereinafter referred to as “the Client”) on date of application.

The Client hereby engages the Provider to provide services described herein under “Scope and Manner of Services.” The Provider hereby agrees to provide the Client with such services in exchange for consideration described herein under “Payment for Services Rendered.”

Scope and Manner of Services
Services To Be Rendered By Provider:
1. Transfer ads on specified URL to Google DoubleClick for Publishers (DFP), where allowed by ad network terms of service.
2. Optimize ads on a continual basis for cost-per-thousand impressions (CPM).

Payment for Services Rendered
The Client shall pay the Provider for services rendered by allowing the provider to place one ad on the specified URL and all sub-domains for as long as Provider provides services, or at a minimum of one year, beginning at date of this agreement.

Understanding Between Client and Provider
Client understands that ad network CPMs are volatile, increasing and decreasing through the year. If Client sees no gain in CPM within three months compared to six-month average before agreement, Client may cancel service and remove Provider’s ad. Provider may cancel service at anytime, in which case the ad for payment will be removed.

Applicable Law
This contract shall be governed by the laws of the County of Cobb in the State of Georgia and any applicable Federal law.
